Licensing Policy

This Software Licensing Policy ("Policy") defines the terms, conditions, and permitted scope of use for the software products provided by PST Walker Software. By purchasing, downloading, installing, or using the software, you ("Licensee") agree to be bound by the terms corresponding to your specific license type.

1. Evaluation & Trial Licenses

• Evaluation / Trial License: Granted automatically or upon request for the sole purpose of testing, demonstrating, and evaluating the software prior to purchase.
  • Scope & Usage: Permitted strictly for evaluation purposes. Use of an Evaluation License in a production environment, for commercial gain, or for ongoing operational business activities is strictly prohibited.
  • Term & Limitations: Evaluation access may be time-limited or feature-restricted as indicated within the software.
  • Warranty & Support: Evaluation Licenses are provided strictly on an "AS IS" basis and do not include maintenance or any warranty. Upon expiration of the evaluation period, the Licensee must either purchase a valid license or permanently remove the software from all Devices.

2. Non-Commercial & Individual Licenses

These licenses are strictly restricted to non-commercial, personal, and individual educational use. They may not be used in any corporate, institutional, government, or revenue-generating environment.

• Lite License (Per-Device): A low-cost license providing access to a restricted baseline set of features. It grants the right to install and use the software on 1 personal Device by the Licensee.
• Personal (Home) License (Per-User): Granted to 1 Designated User for personal, non-commercial, or individual educational use (e.g., coursework or self-study). It may not be used on institution-owned devices, for university administration, or for grant-funded commercial research. The software may be installed or run on up to 2 Devices owned by the Designated User (e.g., a primary desktop and a personal laptop), provided the software is not run on both Devices simultaneously.

3. Professional Licenses

• Pro License (Per-User): A single-user commercial license designed for professionals, freelancers, commercial users, and individual users requiring advanced functionality.
  • Scope & Usage: Allows 1 Designated User to install or run the software on up to 2 Devices (e.g., a primary workstation and a travel laptop) strictly for commercial or professional purposes.
  • Simultaneous Use: The software may not be run on both Devices simultaneously.

4. Corporate & Enterprise Licensing

This section governs commercial and organizational deployments. All licenses within this category permit commercial, revenue-generating, and administrative use within business and government entities.

• Standard (Business) License (Per-Device): Designed for organizational and commercial deployments. This is strictly a Per-Device license.
  • Installation & Usage: Each purchased license allows the installation and/or execution of the software on 1 Device. Any number of individuals may access the software on that specific licensed Device, provided such access is non-simultaneous.
  • Additional Devices: A separate license is required for every individual Device where the software is installed.
  • Volume Licensing: Tiered volume discounts apply for multi-Device purchases.
• Citrix / Terminal Server (TS) & Floating License (Concurrent Session): Designed for virtualized, server-based, or network-shared environments (e.g., Citrix XenApp, Microsoft RDS).
  • License Measurement: Licensing is measured by concurrent usage rather than total installations or named users.
  • Concurrent Usage: The Organization may grant access to an unlimited number of users, provided that the number of active software sessions in use simultaneously does not exceed the number of purchased concurrent licenses.
• Enterprise Licenses (Unlimited Use): Designed for large-scale corporate deployments, providing unlimited installations within specified boundaries.
  • Enterprise (Site) License: Permits unlimited installations and usage by employees of the purchasing Organization and its majority-owned subsidiaries (entities where the purchasing Organization holds more than 50% voting ownership) physically co-located within a single physical location, building, or contiguous campus.
  • Enterprise (Country) License: Permits unlimited installations and usage across all branch offices and eligible majority-owned subsidiaries belonging to the purchasing Organization within a single designated country.
  • Enterprise (Worldwide) License: Grants the purchasing multinational Organization the right to deploy, install, and use the software across all global locations and eligible majority-owned subsidiaries without seat limits or geographic restrictions.

5. IT & Service Provider Licenses

• Technician License (Per-Technician): Designed for IT professionals, system administrators, managed service providers (MSPs) and advanced users requiring full feature access.
  • Scope & Usage: Licensed per Designated User (the technician), not per Device. The Designated User may permanently install the software on 1 primary Device owned by the Licensee. Additionally, the Designated User themselves may run the Portable Edition on an unlimited number of client Devices or servers for repair, recovery, maintenance, or deployment.
  • Restriction: The software may not be permanently installed or left on client Devices. Upon completion of the service task, the software must be removed from the client Device.

6. Academic & Educational Discount Program

Nature of Program: We offer specialized academic pricing and educational discounts for accredited educational institutions (schools, colleges, universities), as well as eligible faculty, administrative staff, and enrolled students.

Scope & Terms: This is a pricing discount applied to our standard commercial license tiers (e.g., Pro License, Standard License) rather than a separate license architecture. All terms, usage scope, and restrictions of the underlying commercial license tier apply. Proof of academic status or institutional accreditation is required to qualify.

7. Activation, License Transfer, and Hardware Replacement

Software Activation: Licenses must be activated using a valid license key provided upon purchase. License keys are confidential and must not be published, shared publicly, or provided to unauthorized third parties.

Device Replacement & Hardware Failure: If a licensed Device is decommissioned, retired, or destroyed due to hardware failure, the Licensee may transfer and activate the license allocation on a replacement Device. For a Technician License, this includes replacement of the designated primary Device. Activation on a replacement Device automatically terminates the right to use or run the software on the specific replaced Device, from which the software must be immediately uninstalled.

Internal License Transfer (Personnel Reassignment):

Per-User Licenses (Pro, Technician): If a Designated User leaves the Organization or transitions to a role that no longer requires the software, the license may be permanently reassigned to a new Designated User within the same Organization, provided the license is covered by an active Maintenance Term at the time of transfer. Reassignment is not permitted for licenses with an expired Maintenance Term.

Per-Device Licenses (Standard): Licenses remain tied to the physical or virtual hardware. Reassignment to a new user on the same Device requires no transfer action. If the Device itself is replaced, the license allocation may be transferred to the replacement Device in accordance with our hardware replacement terms.

No Third-Party Transfers: Licenses are strictly non-transferable to other individuals, companies, legal entities, or organizations, except where a transfer is expressly permitted under this Policy. Licensees may not resell, lease, rent, sublicense, or distribute licenses to third parties.

8. General Terms, Maintenance, and Restrictions

Intellectual Property: All title, ownership rights, and intellectual property rights in and to the software remain exclusively with PST Walker Software.

Deployment Options & Portable Edition: The Licensee may choose to run the Portable Edition of the software instead of the standard installable version, provided that it is used only on Devices covered by the applicable license limits. Use of the Portable Edition on Devices beyond those limits, including client Devices, is strictly prohibited. The Technician License is the only license that permits use of the Portable Edition on an unlimited number of client Devices or servers for service, repair, recovery, and maintenance purposes.

Prohibited Actions: Under no license type may a Licensee reverse-engineer, decompile, disassemble, or attempt to discover the source code of the software. Circumventing activation mechanisms, concurrent session limits, or license management tools is strictly prohibited.

License Validity and Maintenance: License term validity (e.g., Perpetual or Term-Based) and maintenance conditions are specified at the time of purchase (as indicated on the order page or purchase receipt). For perpetual licenses, expiration of the Maintenance Term does not terminate the Licensee's right to use the software version covered by the license; it only ends eligibility for updates, upgrades, and maintenance support. 9. Termination

Notice of Breach: If a Licensee materially fails to comply with any provision of this Policy, PST Walker Software may issue written notice of the default by email or other written communication.

Cure Period: The Licensee shall have fourteen (14) calendar days from receipt of such notice to remedy the breach. If the breach remains uncured upon expiration of this period, PST Walker Software reserves the right to terminate all licensed rights immediately.

Immediate Termination: Notwithstanding any cure period provided herein, PST Walker Software reserves the right to terminate licenses immediately upon written notice in cases of willful intellectual property infringement, unauthorized redistribution, or deliberate circumvention of technical protection measures.

Post-Termination: Upon termination, the Licensee must immediately cease all use of the software and uninstall and permanently remove all copies of the software from its Devices.

10. Changes to This Licensing Policy

We may update this Licensing Policy from time to time to reflect changes in our practices or to comply with applicable laws. If we make material changes, we will indicate the updated date at the top of this page.
